ADP Board Regular Meeting - December 12, 2023
Meeting Details: The Automatic Data Processing Board (ADP) met in regular session at 2:00 pm on December 12, 2023 in the Geauga County Auditor’s Office Appraisal Conference Room at 231 Main St. Chardon, OH 44024. Virtual access was available via MS Teams and the agenda was provided in advance. This observer attended via MS Teams.
Public Comment: ADP does not have a written policy. In practice, public comment is solicited at the end of the meeting.

The meeting was called to order at 2:00 pm by Mr. Antenucci.
Minutes: Minutes for the September 27, 2023 special meeting were approved.
The following actions were taken:
APPROVED - ADP equipment list from August to November, 2023.
APPROVED - ADP purchases list from August to November, 2023.
APPROVED - For the Sheriff’s Department, the Board approved the Motorola Portable Radio purchase ($478,259). Sheriff Hildenbrand explained that these radios are replacements for existing radios that are now out of service.
APPROVED - ADP Updated Records Retention Schedule. The only change was the addition of ADP 23-03 “Approval of Purchase Forms,” which previously had not been deliniated.
Other Business: Mr. Antenucci asked if there was any other business for the Board to address.
In reference to the Mental Health and Recovery Services (MHRS) contract with Griffin Technology ($33,000) that was tabled at the October 25, 2023 ADP Board meeting, Mr. Flaiz informed the Board that although he had yet to receive a formal letter from the Ohio Attorney General (AG), he fully expected the opinion to indicate that MHRS’ activities were not subject to ADP Board oversight. Mr. Flaiz explained that MHRS was not likely to be deemed a county board or office in the AG opinion. Mr. Walder clarified that MHRS would need a contract with ADP to ensure that the pipeline that MHRS uses to connect with the County’s New World network is secure. Ms. Lakomiak inquired about how her organization could capture any cost savings available. Mr. Walder explained that MHRS could use ADP services on an ad hoc basis choosing what services were needed and the contract could be revised to include such services.
In reference to the Developmental Disabilities (DD) Lake Geauga Computer Association (LGCA) contract ($97,235) that was tabled at the October 25, 2023 ADP Board meeting, Mr. Flaiz informed the Board that although he had yet to receive a formal letter from the Ohio AG, he felt the AG was leaning toward requiring DD’s activities to be under ADP Board oversight and its use of ADP services. Mr. Flaiz was not certain of this outcome, however, but he expected to know something definitive before December 25, 2023. Mr. Rice explained that the LGCA contract was shared with Cardinal Schools and covered the 2023-2024 school year. He expressed the need to pay the contractor for services already provided. Mr. Flaiz agreed that once the opinion from the AG was received, he would facilitate the payment as necessary and that proper channels would be followed.
Public Comment: Mr. Antenucci asked for any public comments/questions. There were none.

The next meeting of the ADP Board is the annual organizational meeting that is scheduled for January 8, 2024.
