ADP Board Meeting - April 13, 2026
Meeting Details: The Automatic Data Processing Board (ADP) held a Special Meeting beginning at 1:00 pm on April 13, 2026 in the Geauga County Auditor’s Office Appraisal Conference Room at 231 Main St., Chardon, OH 44024. Virtual access was available via MS Teams, and the agenda was provided in advance. Members of the public may attend ADP meetings virtually via MS Teams by emailing an invitation request to Auditor’s Office Chief Operations Officer Pam McMahan at McMahan@geauga.oh.gov. This Observer attended via MS Teams.

The meeting was called to order at 1:00 pm by Mr. Antenucci.
Minutes: Minutes for the January 12, 2026 Organizational and Special meetings were approved.
The Board took the following actions:
APPROVED - Court of Common Pleas Zoom Room Licenses ($2,600)
APPROVED - Court of Common Pleas iSolved Inc. Time, Labor and Attendance ($173)
APPROVED - Court of Common Pleas Adobe Acrobat Pro Renewal ($2,772)
TABLED - Engineer’s Brightly Software Asset Management Software ($118,316) - Mr. Haupt explained that the purpose of the software was to improve facilities management, inventory tracking, maintenance work orders, and redundancy/accessibility across staff (instead of relying on spreadsheets or one person’s records) in the Engineer’s Department. Mr. Flaiz said he had concerns based on past experience that the county/related offices had previously used Brightly (formerly Dude Solutions / Facility Dude) since around 2014. He said the Maintenance Department stopped using it before the contract ended because support was poor, it caused operational problems and it became “more trouble than it was worth.” Mr. Walder raised security concerns, specifically about a 2023 data breach involving users of the SchoolDude software system from the same company and unclear remediation steps taken after the breach. He also pointed out that that contract shifted security responsibility to the county yet included requirements for IP “whitelisting” which ADP has a policy against. In addition, the contract required county-managed backups and GIS/data integration work. He also noted that there was uncertainty about data hosting location (U.S. vs overseas), multi-factor authentication (MFA) credentialing standards, and overall vendor security posture. Mr. Antenucci noted that the technical and security implications were not yet fully vetted by DARC, explaining that he asked them to postpone their review until the Board reviewed the software request. Ms. Sakiewicz said that the legal review was not complete and that they were working with the company to obtain more information about these concerns. Ms. Mullins asked if there were other software options that provide the same functionality. After the discussion, Mr. Haupt said he felt it was premature to consider the software for Board approval at this time. Mr. Flaiz opposed using any Brightly / Facility Dude product again, but said, “I am only one vote.” A motion to table the matter to allow for more follow-up with the vendor, for the DARC team to potentially complete a security assessment and explore other software options was approved.

APPROVED - Geauga County ADP Price List Rev 26 - Mr. Antenucci noted that the only change in the 2026 price list was to pass along a 5 to 6% price increase for Microsoft licensing fees. He clarified that the prices reflect those charged to townships and other entities outside county government that utilize ADP services.
Regular Business - The Court of Common Pleas requested approval of CivicPlus software to help the Court make online PDF documents compliant with upcoming federal Americans with Disabilities Act (ADA) website accessibility requirements. Ms. Moisio explained that CivicPlus would help ensure that existing public-facing PDFs become accessible and future uploaded documents remain compliant. The county faces a DOJ accessibility compliance deadline of April 24, 2026. Ms. Moisio said they had only recently identified CivicPlus as a possible solution to help meet that deadline. Mr. Antenucci explained that ADP raised questions about whether CivicPlus has security certifications, where the data is stored (U.S. v. overseas), data encryption, platform interaction with Microsoft and audit logging. Ms. Moisio noted that she is waiting for this information from the software provider. Mr. Antenucci was disappointed that this solution request was surfacing so close to the compliance deadline. Mr. Walder questioned what would happen if the vendor failed to provide the needed information before the April 24 deadline. The Board conditionally approved CivicPlus, pending successful security review and approval by DARC.
Executive Session - At approximately 1:33 pm, the ADP Board went into Executive Session per Ohio Revised Code 121.22 (G)(1): “To consider the appointment, employment, dismissal, discipline, promotion, demotion, or compensation of a public employee or official, or the investigation of charges or complaints against a public employee, official, licensee, or regulated individual, unless the public employee, official, licensee, or regulated individual requests a public hearing.” The Board was joined by Mr. Antenucci and Ms. McMahon. The ADP Board returned from Executive Session at 1:46 pm.
Public Comment - This Observer asked if any action was taken in the Executive Session, and Mr. Antenucci reported that no action was taken.
The meeting was adjourned at 1:47 pm.
Next Meeting - The next scheduled meeting of the ADP Board is a Regular Meeting on June 11, 2026 at 1:00 pm.
